JolE Vendor Terms & Conditions

Effective Date: 27 May 2026

These Vendor Terms & Conditions (“Terms”) govern the participation of vendors (“Vendor”, “you”, “your”) on the JolE platform (“JolE”, “we”, “us”, “our”). By registering for, accessing, or using the JolE platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. Vendor Eligibility

1.1 Vendors must be legally established businesses authorised to operate within the Cayman Islands and must possess all licences, permits, approvals, and registrations required by applicable law.

1.2 JolE reserves the right to request proof of business registration, licensing, insurance, or identity verification at any time.

1.3 JolE may refuse, suspend, or terminate any Vendor account at its sole discretion.

2. Vendor Content & Deal Submission

2.1 Vendors are solely responsible for all promotions, offers, discounts, advertisements, descriptions, pricing, images, trademarks, logos, and other content submitted to JolE (“Vendor Content”).

2.2 Vendors represent and warrant that all Vendor Content:

  • is accurate, lawful, complete, and not misleading;
  • complies with all applicable laws and regulations of the Cayman Islands;
  • does not infringe the intellectual property, privacy, publicity, or other rights of any third party;
  • is not defamatory, fraudulent, deceptive, offensive, or unlawful.

2.3 Vendors shall ensure all deals clearly disclose:

  • validity periods;
  • exclusions and restrictions;
  • redemption limitations;
  • booking requirements;
  • cancellation policies;
  • any additional fees or conditions applicable to the offer.

2.4 JolE reserves the unrestricted right to edit, reject, suspend, remove, or request modification of any Vendor Content or deal submission at any time and without liability.

3. Deal Exclusivity

3.1 Unless otherwise approved in writing by JolE, all deals published on the platform shall be exclusive to JolE members during the promotional period.

3.2 Vendors shall not publicly advertise or offer materially identical promotions through competing platforms, public advertising, social media campaigns, or in-store promotions during the active deal period without JolE’s prior written consent.

3.3 Breach of this clause may result in immediate suspension, removal of promotions, or termination of Vendor access.

4. Deal Approval & Publication

4.1 All promotions are subject to JolE review and approval prior to publication.

4.2 Submission of a deal does not guarantee acceptance or publication.

4.3 JolE may remove or suspend any promotion that:

  • generates repeated customer complaints;
  • damages the reputation of JolE;
  • violates these Terms;
  • creates legal, regulatory, operational, or reputational risk.

5. Redemption Procedures

5.1 Vendors must honour all approved promotions exactly as advertised on the platform.

5.2 Deals may only be redeemed through JolE’s official redemption system and procedures.

5.3 Vendors shall ensure redemption codes are entered only:

  • at the time services or goods are provided; and
  • in the presence of the member.

5.4 Redemption codes must not be reused, manipulated, shared, falsified, or entered retrospectively.

5.5 Failure to comply with redemption procedures may result in suspension, removal from the platform, reversal of benefits, or account termination.

6. Vendor Responsibilities

6.1 Vendors are solely responsible for:

  • the quality, safety, legality, and delivery of their goods and services;
  • maintaining safe premises and operating conditions;
  • ensuring staff are adequately trained regarding JolE promotions and redemption procedures;
  • compliance with all applicable health, safety, employment, consumer protection, and licensing laws.

6.2 Vendors shall treat all JolE members fairly, professionally, and without discrimination.

6.3 JolE shall not be responsible for any internal Vendor staffing issues, training failures, operational errors, or customer service disputes.

7. Complaints, Investigations & Compliance

7.1 JolE reserves the right to investigate complaints, suspected fraud, misuse, unlawful conduct, or breaches of these Terms.

7.2 Vendors agree to cooperate fully and promptly with all reasonable investigations conducted by JolE.

7.3 JolE may suspend promotions or Vendor access pending investigation outcomes.

8. Prohibited Conduct

Vendors shall not:

  • refuse to honour valid promotions;
  • alter promotion terms at redemption;
  • misuse or manipulate redemption systems;
  • engage in deceptive, fraudulent, unlawful, or misleading conduct;
  • submit false information;
  • use JolE promotions for unauthorised internal, test, or personal purposes;
  • engage in conduct likely to damage the reputation, goodwill, or business interests of JolE.

Any violation may result in immediate suspension or termination without notice.

9. Intellectual Property

9.1 Vendors grant JolE a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, publish, display, and distribute Vendor Content for promotional, advertising, operational, and marketing purposes in connection with the JolE platform.

9.2 Vendors warrant that they own or possess all necessary rights and permissions relating to Vendor Content.

9.3 Vendors shall remain solely liable for all claims arising from Vendor Content.

10. Limitation of Liability

10.1 JolE operates solely as a promotional and marketing platform connecting Vendors with members.

10.2 JolE does not own, operate, supervise, control, or endorse Vendor businesses, products, premises, personnel, or services.

10.3 To the fullest extent permitted under Cayman Islands law, JolE shall not be liable for:

  • personal injury;
  • illness;
  • death;
  • property damage;
  • service failures;
  • food safety incidents;
  • professional negligence;
  • acts or omissions of Vendors or members;
  • fraud or misconduct by any party;
  • business interruption;
  • loss of profits, revenue, goodwill, or reputation;
  • indirect, incidental, consequential, punitive, or special damages.

10.4 Vendors acknowledge that use of the platform is entirely at their own risk.

11. Indemnification

11.1 Vendors agree to indemnify, defend, and hold harmless JolE, its owners, directors, officers, employees, contractors, affiliates, and agents from and against any and all claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Vendor products or services;
  • personal injury, death, or property damage;
  • Vendor negligence or misconduct;
  • breach of these Terms;
  • breach of applicable laws or regulations;
  • infringement of intellectual property or third-party rights;
  • misleading advertising or representations;
  • disputes between Vendors and members.

12. Insurance

12.1 Vendors shall maintain all insurance coverage reasonably necessary for their business operations, including public liability insurance where applicable.

12.2 JolE may request proof of insurance at any time.

13. No Partnership or Agency

Nothing contained in these Terms shall create any partnership, joint venture, employment, franchise, fiduciary, or agency relationship between JolE and any Vendor.

Vendors shall not represent themselves as agents, representatives, or employees of JolE.

14. Platform Availability

14.1 JolE does not guarantee uninterrupted access to the platform.

14.2 JolE may modify, suspend, discontinue, or update any feature, functionality, policy, or process at any time without liability.

14.3 The platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

15. Suspension & Termination

15.1 JolE may suspend or terminate Vendor access immediately and without notice where:

  • these Terms are breached;
  • fraudulent or unlawful activity is suspected;
  • repeated complaints arise;
  • Vendor conduct creates reputational, legal, or operational risk to JolE.

15.2 Upon termination, JolE may remove promotions, disable account access, and retain records as required for legal or operational purposes.

16. Force Majeure

JolE shall not be liable for any delay, interruption, or failure arising from events beyond its reasonable control, including natural disasters, hurricanes, pandemics, governmental actions, internet outages, utility failures, labour disputes, or acts of God.

17. Governing Law & Jurisdiction

17.1 These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands.

17.2 The courts of the Cayman Islands shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the use of the JolE platform.

18. Amendments

JolE reserves the right to amend these Terms at any time. Updated Terms shall become effective upon publication on the platform. Continued use of the platform constitutes acceptance of the revised Terms.

By accepting and agreeing the below/above, you are confirming to us that you understand this and that

(i) you consent to our obtaining and retaining your personal data for the purpose described in this Notice; and

(ii) you have obtained a similar consent from any other living individual whose personal data you provide to us.
